1. Acceptance of Terms

By accessing or using the 5472Ninja website, application, and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Description of Service

5472Ninja provides a self-service software platform that assists foreign owners of US LLCs in preparing IRS Form 5472 and Pro Forma Form 1120 documents. The Service automates data entry, imports bank transactions via Plaid, and generates downloadable PDF forms.

Optional Transmission Service: For an additional fee, 5472Ninja offers an "IRS Direct Delivery" feature. If selected, 5472Ninja acts solely as a mechanical transmission agent (a digital fax service) to deliver your self-prepared, electronically signed documents to the IRS.

5472Ninja is strictly a software provider and transmitter. We are not a Paid Tax Return Preparer. We do not review your specific tax situation, verify the accuracy of your numbers, or provide any form of tax planning or advice.

3. User Responsibilities

You acknowledge and agree that:

• You are responsible for the accuracy, completeness, and truthfulness of all information you provide to the Service.
• You are responsible for reviewing all generated documents before submitting them to the IRS or any other authority.
• Filing accuracy is your sole responsibility. 5472Ninja does not guarantee that any document generated will be accepted by the IRS or that it satisfies your specific filing obligations.
• You should consult a qualified tax professional (CPA, enrolled agent, or tax attorney) if you have questions about your filing obligations.
• You will not use the Service for any illegal or fraudulent purpose.

4. Electronic Signatures and IRS Transmission

If you choose to use our optional IRS Direct Delivery service, you will be required to review your completed forms and provide an electronic signature. By providing your drawn electronic signature on the platform, you acknowledge and agree that:

• Perjury Declaration: You have fully examined the generated return, including accompanying schedules and statements, and to the best of your knowledge and belief, it is true, correct, and complete.
• Legal Equivalence: Your electronic signature is the legally binding equivalent of your handwritten signature.
• Authorization to Transmit: You expressly authorize 5472Ninja to apply your electronic signature to Form 1120 and physically or digitally transmit these documents to the IRS on your behalf.
• Rejection Liability: 5472Ninja is not responsible if the IRS rejects your filing due to illegible signatures, missing foreign Taxpayer Identification Numbers (FTIN), or inaccurate data you provided.
• Transmission Timelines & Deadlines: 5472Ninja utilizes third-party electronic fax APIs to deliver documents to the IRS. During peak tax periods, IRS fax lines may experience severe congestion, resulting in transmission delays. 5472Ninja does not guarantee immediate transmission or successful receipt by a specific deadline. You are strongly advised to submit your documents well in advance of the April 15th deadline. 5472Ninja is not liable for late penalties if a transmission is delayed by IRS line congestion or third-party outages.

5. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.

6. Payments & Refunds

Pricing is displayed on the Service at the time of purchase. Payments are processed by our third-party payment provider, Polar. All sales are final. Because the Service delivers instantly downloadable digital documents, refunds are generally not available once PDF generation has occurred. If you believe there was a billing error, contact us at support@5472ninja.com. For users who purchase the IRS Direct Delivery add-on, the fee covers the mechanical act of transmission. Refunds will not be issued if the IRS rejects or delays processing your filing due to user errors, missing information, or issues outside of 5472Ninja's control.

7. Third-Party Services

The Service integrates with third-party providers including Plaid (bank account connectivity), Polar (payment processing), and Vercel (hosting). Your use of these services is governed by their respective terms of service and privacy policies. 5472Ninja is not responsible for the acts or omissions of any third-party service provider.

8. Intellectual Property

All content, design, code, and trademarks associated with 5472Ninja are owned by or licensed to 5472Ninja. You may not reproduce, distribute, or create derivative works without prior written consent. Documents generated through the Service for your own tax filing are yours to use.

9. Limitation of Liability

To the maximum extent permitted by law, 5472Ninja, its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to IRS penalties, fines, interest, or lost profits — arising out of or related to your use of the Service. You explicitly acknowledge that the IRS imposes severe penalties (including an automatic $25,000 penalty) for failing to file Form 5472 accurately or on time. 5472Ninja shall under no circumstances be held liable for any such IRS penalties, late fees, or enforcement actions taken against you or your LLC. You assume total responsibility for ensuring your filing is timely and complete.

Our total aggregate liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to 5472Ninja in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold harmless 5472Ninja and its affiliates from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the “Last updated” date at the top of this page. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
